The successful candidate will work in a fast-paced environment, directly engaging with partners and clients on investment fund matters including structuring, offering, managing, investing and related regulatory items.
KEY OPPORTUNITIES:

- Work with sponsors of and investors in investment funds (including private equity, real estate and credit funds) and other investment vehicles in structuring, offering, managing, investing and related regulatory matters.
- Deal with a substantial amount of client contact
QUALIFICATIONS:
To excel in this role, the ideal candidate should have:
- A JD degree from an ABA-accredited law school with top academic credentials.
- Texas bar admission or the ability to become admitted in Texas.
- Two to six years of experience with investment fund formation and offerings (both domestic and offshore funds).
- Significant drafting experience and skills in drafting fund formation documentation: including Private Placement Memoranda, Subscription Agreements, Partnership Agreements, joint venture agreements side letters, opinions and back-up certificates, amendments, Management Company Agreements, General Partner Operating Agreements.
- Significant drafting experience and skills in drafting and negotiating fund investment documentation: including co-investment documentation, LLC Agreements, Subscription Agreements, and side letters. Significant experience and skills in drafting and negotiating minority investor rights provisions.
- Exhibited desire and ability to take responsibility for involvement in all aspects of (i) fund formation and closing matters for a fund and ongoing administration of funds (including transfers of interests) and (ii) co-investment transactions.
